DISPUTE RESOLUTION
Through negotiation, mediation, arbitration, and aggressively litigating in court, Mr. Kaplan has resolved nearly every type of franchise dispute, including those involving registration and disclosure, franchise compliance, termination, franchisee associations, vicarious liability, encroachment, advertising funds, antitrust, tortious interference, unfair competition, trade secrets and trademark protection.
INITIAL FRANCHISE REVIEWS - CONSULTATION
Mr. Kaplan’s experience representing franchisors and franchisees, resolving hundreds of franchise disputes and drafting franchise documents gives him a unique ability to counsel franchisees.
For a flat fee, prospective franchisees are provided with a thorough review of the applicable franchise and business laws, an analysis of the franchise documents, counseling regarding various business structures and lease issues, along with recommendations for modifying the franchise documents. Typically the counseling session lasts between 4 to 5 hours and can be conducted on weekends or in the evening.
OPERATING, BUYING AND SELLING A FRANCHISED BUSINESS
We provide assistance in counseling franchisees in operating their business, setting-up corporations, limited liability companies and partnerships, drafting buy-sell and shareholder agreements, lease negotiations and asset and stock purchase agreements.
